Rep contracts vary widely across industry categories, regions and product types, and reps and brands should consult an attorney when formulating, reviewing and executing a contract. Most rep contracts include a few common elements: 1) the territory the rep will be focusing on; 2) the products and related programs covered under the agreement; 3) the rep’s commission, either as a percent of sales or profits; 4) timing of payments; 5) dispute resolution methods; 6) how commissions will be split when there is sales overlap; 7) termination procedure and required notice period; 8) terms of sale; and 9) restrictions on selling competing lines.
